 Re: SLFC Amended and Restated Articles of Incorporation

 

Attached is a copy of the proposed Amended and Restated Articles of Incorporation of the Santa Lucia Festival Committee ("SLFC").  The last time the SLFC "Articles of Incorporation" were updated and filed with the Nebraska Secretary of State was in 1995. 

 

As discussed at previous meetings of the Members of the SLFC, the SLFC is in the process of finalizing an application to the Internal Revenue Services ("IRS") applying for recognition as a 501(c)(3) organization (the "Application").  One of the documents that must accompany this Application when filed with the IRS, is a copy of the SLFC Articles of Incorporation. 

 

To qualify for recognition as a 501(c)(3) organization, the SLFC Articles of Incorporation must  be updated to contain provisions required of a 501(c)(3) organization  For example, the Articles of Incorporation must provide that  (i) the SLFC is organized exclusively for charitable, religious, and educational purposes; (ii) no part of the net earnings of the SLFC shall inure to the benefit of, or be distributable to its members, trustees, officers, or any other private persons,

At the SLFC Member meeting scheduled for December 6, 2017 a vote will be taken to approve the attached Amended and Restated Articles of Incorporation of the SLFC. "
